Companies Act 2014
Under the Irish Companies Act 2014, the unrestricted exercise of all business activities is regulated by the elimination of the Objects Clause for the standard Limited Liability Company (LTD).
Key points at a glance:
Full legal capacity: An Irish LTD (Company Limited by Shares) has the same legal capacity as a natural person under the Companies Act 2014.
No Objects Clause: The articles of association (constitution) of an LTD no longer contain an Objects Clause. The company can operate in any legal business sector.
Abolition of Ultra Vires: Contracts can no longer be invalidated because the company exceeds its stated corporate objectives (the so-called Ultra Vires doctrine has been abolished for LTDs).
